· Seller agrees to manufacture and sell to Buyer, and Buyer agrees to buy from Seller, the following property:

· This Agreement permits the undersigned Buyer to receive ALL INSTRUMENTS AND WEBSITES, to access the content, namely ALL INSTRUMENTS AND WEBSITES, and to use the purchased Websites for personal use, Advanced Marketing Corp., a NJ corporation doing business as Ideas 4 Now. Buyer and Advanced Marketing Corp., a NJ corporation doing business as Ideas 4 Now. agree to all terms and conditions of this Agreement.

· You will allow Advanced Marketing Corp., a NJ corporation doing business as Ideas 4 Now. to select the appropriate domains to coincide with content websites. In all cases, the domain name you use must be owned by Buyer. Under the terms of content providers licenses.

· Advanced Marketing Corp., a NJ corporation doing business as Ideas 4 Now. designs and builds your website and makes it available to you and you’re customers. Advanced Marketing Corp., a NJ corporation doing business as Ideas 4 Now will use its sole discretion in deciding its procedures for completion of turnkey package.

· Your sites shall only have content licensed to the Buyer. You may include any other content on the pages we set up for you prior to the work in progress.

· Advanced Marketing Corp., a NJ corporation doing business as Ideas 4 Now. will update the site, in its sole discretion as to frequency, content, credit card processing, and maintenance for $75.00 per hour.

· You agree to make your sites available only to your customers, only for display, and for no other purposes, including retransmission and resale until payment is received in full.

· Buyer is solely responsible and owns all websites after completion of the site.

· Buyer will be billed in advance periodically (yearly unless otherwise notified). Buyer shall pay invoices promptly upon receipt. Errors in and omissions from invoices, and errors or delays in sending, or failures to send or receive, invoices, do not relieve Buyer of its payment obligations.

· A late payment charge of the lesser of 1 ½% per month or the highest lawful rate may be applied to the outstanding balance until paid.

25. DATA SECURITY, RETRANSMISSION PROHIBITED

· Neither Advanced Marketing Corp., a NJ corporation doing business as Ideas 4 Now. nor its content providers guarantee the timeliness, sequence, accuracy, error, omission or completeness of Buyer’s Websites or of other information. Nor does Advanced Marketing Corp., a NJ corporation doing business as Ideas 4 Now or its content providers guarantee against any loss or damage arising from or occasioned by (i) any such inaccuracy, error, delay or omission (ii) non-performance of our obligations under this Agreement, or (iii) interruption of the Buyer’s Websites due either to any negligent act or omission by Advanced Marketing Corp., a NJ corporation doing business as Ideas 4 Now. or its content providers or to any force majeure (i.e., flood, extraordinary weather conditions, earthquake or other act of God, fire, war, insurrection, riot, labor dispute, accident, action of government, communications or power failure, equipment or software malfunction) or any other cause beyond the reasonable control of Ideas4Now or any of its Providers.

· Buyer’s Websites malfunction or any other cause beyond our reasonable control. Buyer acknowledges that the Internet is not owned or controlled by anyone; that the Internet is subject to human errors, random atmospheric and geographic interference, and acts of God. Advanced Marketing Corp., a NJ corporation doing business as Ideas 4 Now. therefore makes no guarantee that any particular person will be able to access the Buyer’s Websites at any given time; nor that Buyer or its Buyer’s will be able to view or access the Buyer’s Websites at any particular time. ACCESS TO THE Buyer’s WEBSITE IS AS IS AND AS AVAILABLE.

· Buyer acknowledges that the Buyer’s Websites contains information, images and text that some people may find improper, hurtful, or otherwise offensive. The contents which may not be suitable for some individuals. Buyer agrees not to sell access to the Buyer’s Websites to minors.

· Advanced Marketing Corp., a NJ corporation doing business as Ideas 4 Now. may discontinue disseminating the Buyer’s Websites, may change or eliminate any transmission method, access and the access method and may change transmission speeds. Advanced Marketing Corp., a NJ corporation doing business as Ideas 4 Now. shall not be liable for any resulting liability, loss or damages to Buyer.

· (nor attempt to do so) disrupt or undermine the security or integrity of Advanced Marketing Corp., a NJ corporation doing business as Ideas 4 Now computers, network, servers, vendors, the Buyer’s Websites, Advanced Marketing Corp., a NJ corporation doing business as Ideas 4 Now’s other Buyer’s computers or network connections; nor gain unauthorized access to other accounts.

· That it will not engage in any action that causes harm Advanced Marketing Corp., a NJ corporation doing business as Ideas 4 Now’s business, reputation or ability to conduct business.

31. Buyer PROMISES that it will not:

· Impersonate another person or misrepresent authorization to act on behalf of others. All of Buyer’s emails and postings will correctly identify the sender. Buyer will not alter the attribution of origin in electronic mail messages, newsgroup postings or the like.

· Post chain letter(s) to newsgroups or via e-mail;

· Use newsgroups or third-party mailing lists for mass postings, solicitations, or advertisements, unless such newsgroups or third-party mailing lists explicitly accept commercial messages;

· Post messages not related to the topic of the newsgroup or mailing list.

33. Buyer WARRANTS that:

· Buyer has the right and authority to enter into this Agreement and will exercise its rights hereunder only for lawful purposes;

· Buyer will comply with all applicable portions (as may be amended from time to time) of the Direct Marketing Association’s Guidelines for Ethical Business Practices; Federal, State and Local regulations, including but not limited to the Communications Decency Act of 1996; copyrights, trademarks, patents, trade secrets, rights of publicity and privacy;

· If Buyer is an individual, Buyer is at least 18 years of age;

· This Agreement does not violate any other agreement of Buyer;

· Advanced Marketing Corp., a NJ corporation doing business as Ideas 4 Now. PROVIDES NO WARRANTY, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OR MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT OF THIRD PARITIES’ RIGHTS, Advanced Marketing Corp., a NJ corporation doing business as Ideas 4 Now’s liability to Buyer for any liability, loss or damages relating to the Buyer’s Websites, whether based on contract, in tort (including negligence and strict liability) or any other theory, shall in the aggregate not exceed the total charges to Buyer under this Agreement for the period preceding the breach or injury. The foregoing limitations do not apply to personal injury claims. OR INACCURACIES IN THE INFORMATION Should any action be brought to enforce this Agreement, the losing party shall pay all costs, expenses and reasonable attorneys’ fees incurred by the prevailing party to enforce this Agreement.

· This Agreement shall be construed in accordance with the laws of New Jersey. The parties agree that (1) any legal action (including arbitration if agreed to by the parties) that relates to this Agreement will occur in Morris County, New Jersey, (2) consent to personal jurisdiction and venue there, and (3) waive any objection to jurisdiction, inconvenient forum or venue in any action brought there.

· This Agreement does not constitute a partnership or joint venture between Advanced Marketing Corp., a NJ corporation doing business as Ideas 4 Now and Buyer. Buyer is not the representative or agent of Advanced Marketing Corp., a NJ corporation doing business as Ideas 4 Now and Advanced Marketing Corp., a NJ corporation doing business as Ideas 4 Now is not the representative or agent of Buyer and neither will so hold itself out publicly or to any third party or incur any liability for the other, it being understood and agreed that the parties hereto are entering into this Agreement as independent contractors.

· The parties shall send communications relating to this Agreement to:

· In the event of breach by Buyer, Advanced Marketing Corp., a NJ corporation doing business as Ideas 4 Now may terminate this Agreement and/or any other Agreement with Buyer or Buyer’s affiliated organizations or suspend providing some or all Services under this Agreement and/or any other Agreement with Buyer or Buyer’s affiliated organizations without prior notice.

39. INDEMNITY

· Buyer shall indemnify Advanced Marketing Corp., a NJ corporation doing business as Ideas 4 Now its assignees, and affiliated companies, and the officers, directors, employees, and agents of the foregoing, against all claims and expenses, including reasonable attorney’s fees, arising out of or in connection with

· Buyer’s use, handling, display, marketing or advertising of the Buyer’s Websites,

· Buyer’s breach of this Agreement, including the warranties hereof, or

· A claim against Advanced Marketing Corp., a NJ corporation doing business as Ideas 4 Now for any reason related in any way to Buyer’s use of the Buyer’s Websites, whether such claims relate to negligence, product liability, breach of contract, warranty, guarantee, or infringement of trademark, trade name, trade secret, copyright, or patent. To the fullest extent permitted by law, the foregoing indemnity shall apply regardless of the fault, active or passive negligence, or breach of warranty or contract by any of the Indemnities.

· This writing contains the entire agreement between the parties in respect of its subject matter. This Agreement supersedes any previous agreement between Advanced Marketing Corp., a NJ corporation doing business as Ideas 4 Now The parties may only modify this Agreement by a writing signed by or on behalf of each of them.

41. ASSIGNMENTS

· Buyer may not assign all or part of this Agreement without the written consent of Advanced Marketing Corp., a NJ corporation doing business as Ideas 4 Now
